Important Notice: Before purchasing or subscribing to any paid services of the Spark application (hereinafter referred to as "this Application"), you (hereinafter referred to as "User" or "You") must carefully read and fully understand all contents of this Agreement. This Agreement constitutes a legally binding contract between You and the operator of this Application. By accessing, using this Service or completing the payment process, You indicate that You have accepted all terms and provisions of this Agreement. If You accept this Agreement on behalf of an organization, You shall ensure that You have the authorization to agree to and be bound by this Agreement on behalf of the organization and its affiliates.
1.1 This Platform grants Members a personal, non-exclusive, non-transferable, revocable, and time-limited license. Members may only use the Products/Services and software in a limited manner in accordance with the agreement.
1.2 You shall independently bear full responsibility for all actions taken while using the services of this Platform. This Platform reserves the right to supervise, remind, and inspect all activities of Members on the Platform, and to take corrective and liability-pursuing measures against acts that violate laws, regulations or this Agreement.
1.3 All services provided by this Platform to Members are limited to use within this Platform. Any act of separating service content from this Platform through malicious technical cracking or other illegal means shall not be deemed as service use recognized by this Agreement, and this Platform will pursue legal liability of the relevant parties in accordance with the law.
1.4 You understand and agree that completing payment through a third-party payment platform may involve commercial risks, including but not limited to illegal operations conducted by others using Your account, bank card, etc. You shall bear the resulting economic losses by Yourself.
2.1 You may obtain membership qualification through channels currently provided or to be added in the future by this Platform. However, if You activate the membership service in any of the following ways, this Platform has the right to reject Your application or cancel Your membership qualification without refunding the fees already collected:
- Activating the service for non-personal use purposes such as commercial operations;
- Activating through any illegal means such as automated programs, scripts, or crawlers;
- Activating through channels not designated by this Platform;
- Activating in a manner that infringes upon the legitimate rights and interests of this Platform or third parties;
- Other channels that violate laws and regulations.
2.2 The ownership of the membership account belongs to this Platform, and Members are only granted limited right to use the account.
3.1 The specific charging standards for membership services shall be subject to the prices displayed on the relevant service pages.
3.2 To ensure service continuity, by subscribing, You authorize us to automatically deduct the fee for the next cycle from Your designated payment account before the end of the current billing cycle.
3.3 The fee will be automatically deducted from Your payment account before the start of each billing cycle. If the deduction fails due to insufficient account balance, You shall bear the corresponding consequences by Yourself.
3.4 This Platform reserves the right to regularly verify whether Your use of the service complies with the provisions of this Agreement. If any violation is found, it has the right to recover the corresponding fees from You.
4.1 Credit Entitlements
4.1.1 Credits are virtual units we provide that allow users to access or unlock designated features within Spark. Credits may be redeemed for specific in-product functionalities, including but not limited to “Note Unlocking,” “Real-time Transcription,” and other eligible features (as displayed on the respective Spark service pages).
4.1.2 For clarity, the Credit service constitutes a technical service offered by the platform. Credits do not represent online payment instruments, tokens, digital currency, prepaid value, or any form of monetary equivalent. Credits have no cash value and do not function as stored value or financial instruments.
4.1.3 Credits may be used solely to redeem Spark products or services as set forth in this Agreement. Credits cannot be converted or redeemed for RMB or any other currency.
4.1.4 You may not obtain or use Credits for commercial or profit-seeking purposes, nor may you transfer, gift, lend, sell, pledge, sublicense, or otherwise dispose of Credits, whether to third parties or between your own separate accounts.
4.2 Earning Credits & Validity Period
4.2.1 Purchased Credits
All users may purchase Credits in accordance with this Agreement and applicable platform rules. Fees for purchasing Credits will be charged by the Company or by an authorized payment partner.
You acknowledge and agree that purchased Credits remain valid for 3 years from the date of purchase.
4.2.2 Membership Benefit Credits
Once your membership subscription becomes active, Credits included in the membership plan will be issued on a weekly basis throughout the subscription period. These Credits are valid for 3 years from the system issuance date.
If your membership plan changes, the issuance schedule of membership Credits will adjust accordingly.
Should service-level changes result in different validity rules, the rules displayed within the product interface shall prevail.
4.2.3 Promotional Credits
From time to time, we may issue complimentary Credits or other promotional benefits to eligible accounts (including both member and non-member accounts).
The validity period, usage scope, and specific terms for promotional Credits are subject to the rules stated on the applicable activity or service page. Please review and comply with those rules carefully.
4.3 Credit Usage Rules
4.3.1 Credits cannot be exchanged for membership plans; cannot be transferred or gifted between users or between accounts owned by the same user; and cannot be refunded or converted back into cash.
4.3.2 Credits may be redeemed only for designated in-platform features or value-added services.
4.3.3 Credits have a defined validity period and must be used before expiration.
4.3.4 Please note that different types of Credits (membership-issued Credits, purchased Credits, promotional Credits) may each have different validity periods. Refer to the applicable rule descriptions on the corresponding service pages.
4.3.5 Credits are consumed in the following order of priority: credits with the earliest expiration date are used first.
4.3.6 To improve user experience and optimize service quality, we may periodically update or adjust Credit-related features, pricing models, and user entitlements. Certain existing features or entitlements may be modified or discontinued. We will make reasonable efforts to safeguard your legitimate rights and interests.
4.3.7 You may view your Credit balance, validity period, and transaction history via [Spark App Home → Top-Right → Top-Up → Details]. These records constitute valid evidence of your Credit usage.
If you believe a Credit record is inaccurate, please contact us using the information provided in this Agreement. Upon verification, any confirmed errors will be corrected.
5.1 This Platform will provide a way to query auto-renewal orders but shall not be liable for sending invoices.
5.2 This Platform may adjust or modify the relevant contents of this Agreement due to business development, technical updates, etc., and will notify users by posting on the page without separate individual notice.
5.3 If You do not agree to the relevant modifications, You may take the initiative to cancel the subscribed service. If You continue to use the service, it shall be deemed that You accept the modified contents.
5.4 If the service price changes before auto-renewal, the effective price at that time shall prevail.
5.5 This Platform has the right to adjust the service price and billing cycle according to business needs or market conditions, and will notify users by posting on the page.
6.1 This Agreement shall take effect when You agree to or start using the service, and terminate when You actively terminate the service or cancel the subscription.
6.2 You may terminate the service at any time through account settings. After the service is terminated, this Platform will stop providing the corresponding service.
6.3 If You terminate the service before the end of the current subscription cycle, the fees already paid will not be refunded.
7.1 If You have any questions about this Agreement or membership services, please contact us through official customer service channels.
7.2 Both parties shall resolve disputes through negotiation in good faith. If negotiation fails, either party has the right to submit the dispute to the payment platform You used (such as App Store or Google Play) for handling.
8.1 We may change, interrupt, suspend or terminate the membership service due to changes in laws and regulations, regulatory requirements, or adjustments to product operations, etc.
8.2 We shall not be liable for any inability of You to continue enjoying service rights and interests due to the aforementioned reasons.
8.3 We shall not be liable for service interruptions, data loss, etc. caused by reasons beyond our control such as force majeure, third-party service failures, or device compatibility issues.
9.1 This Agreement is an integral part of the "Spark Terms of Service". If there is any inconsistency between the two, this Agreement shall prevail; for matters not stipulated in this Agreement, the "Spark Terms of Service" shall prevail.
9.2 We have the right to revise this Agreement according to actual circumstances. The revised Agreement shall take effect on the date of publication. If You continue to use the service, it shall be deemed that You accept the revised contents.
9.3 The interpretation, validity, and dispute resolution of this Agreement shall all be governed by the laws of the People's Republic of China.
