Welcome to use the "Spark" product and related services (hereinafter referred to as the "Service"). Before starting to use the Service, please carefully read and fully understand all the terms of this Agreement, especially the clauses involving liability exemption or limitation, applicable law and dispute resolution (such clauses have been highlighted in bold). Your registration, login and use of the Service shall be deemed your acceptance of this Agreement, indicating that you agree to be bound by all the terms hereof. This Agreement shall constitute a legally binding formal document between you and "Spark".
If, in accordance with the relevant laws and regulations of the People's Republic of China(“PRC”), you do not have the corresponding civil capacity to engage in your actions, please read this Agreement under the guidance and accompaniment of your guardian, and obtain your guardian's explicit consent before using the Service. If you do not have the corresponding civil capacity, you and your guardian shall bear all consequences arising therefrom in accordance with legal provisions.
Please ensure that you have the legal right to sign and agree to be bound by this Agreement in accordance with the laws of the People's Republic of China (for the purpose of this Agreement, including administrative regulations, departmental rules and normative documents, the same below) and the laws of your place of residence or the laws you voluntarily submit to (hereinafter collectively referred to as the "Laws"). If you sign this Agreement on behalf of your employer or unit, please ensure that you have obtained sufficient authorization to sign.
Special Reminder: All content and services generated by artificial intelligence models in the Service are automatically produced by artificial intelligence and may contain errors or omissions. We make no warranties or commitments regarding the accuracy, completeness or functionality of the content generated by the Service, and such generated content does not represent our position or opinions. When using the Service to process issues or content in professional fields such as medical care and law, you will not obtain professional advice such as medical diagnosis or legal consultation. For such professional advice, please consult relevant professionals such as doctors and lawyers. We shall not be liable for any damages or liabilities caused to yourself or any third party by your use of the Service.
1.1 The Service refers to various functions and services provided to you through Spark, including note-taking, note optimization, search and query. We reserve the right to adjust the Service content according to actual circumstances and will promptly issue corresponding notices to users.
1.2 You understand and agree that we only provide technical services related to Spark. In addition, devices related to network services (such as personal computers, mobile phones and other devices required to access the Internet or mobile networks) and corresponding fees (such as network access fees, communication fees, etc.) shall be borne by you.
2.1 You may register an Spark account by entering your mobile phone number, email address, or through authorized login via third-party accounts such as WeChat, Apple, and Google.
2.2 When registering an account or logging in with authorization, please fill in or submit relevant data and information in accordance with the prompts of Spark, and ensure the authenticity, accuracy and completeness of the provided identity and information; if the relevant information changes, please update it in a timely manner. The registration information such as the account name and avatar you use shall not contain illegal or inappropriate content. If Spark finds such cases after review, it will refuse registration; if it is found after registration that the user's account avatar and other registration information contain illegal or inappropriate content, Spark has the right to take measures such as ordering correction within a time limit, suspending use, and canceling the account without prior notice. After successful registration, you shall take reasonable measures to maintain the security of your account, and be responsible for all activities and events conducted after logging in through the account, and bear the direct or indirect legal liabilities arising therefrom.
2.3 You understand and agree that when you successfully register and log in to Spark using your WeChat account or mobile phone number, we cannot fully identify the illegal or unauthorized use of the account. Therefore, Spark shall not be liable for any actions of logging in and using the relevant services of Spark through your account. You agree and undertake:
2.3.1 If you find that your account has been used without authorization or other security issues occur, you will immediately and effectively notify Spark; at the same time, you need to understand that Spark needs a reasonable time to take action on your request, and such actions may not be able to avoid or prevent the occurrence or expansion of infringement consequences;
2.3.2 For losses and consequences caused by your active disclosure of account information, being attacked or defrauded by others, you shall claim compensation from the infringer through judicial, administrative and other channels.
2.4 Spark has the right to refuse or restrict the use of the account, or cancel the account, and terminate this Agreement at the same time, if it suspects that the account is being improperly used in its sole discretion.
2.5 When registering and using the account, you shall commit to complying with the seven basic principles including laws and regulations, the socialist system, national interests, legitimate rights and interests of citizens, public order, social morality and information authenticity. You shall not have illegal or inappropriate content in the account registration information, and shall ensure that the following circumstances do not occur:
2.5.1 Violating the provisions of the Constitution or laws and regulations;
2.5.2 Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
2.5.3 Damaging national honor and interests, or damaging public interests;
2.5.4 Inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity;
2.5.5 Undermining national religious policies, or promoting cults and feudal superstition;
2.5.6 Spreading rumors, disturbing social order, or undermining social stability;
2.5.7 Spreading obscenity, pornography, gambling, violence, homicide, terror or abetting crimes;
2.5.8 Insulting or defaming others, or infringing upon the legitimate rights and interests of others;
2.5.9 Containing other content prohibited by laws and administrative regulations.
2.6 You fully understand and agree that you must be responsible for all actions under your registered account, make your own judgments on the content in the Service, and bear all risks arising from the use of the content, including risks arising from relying on the correctness, completeness or usefulness of the content.
3.1 You agree to comply with laws and the provisions of this Agreement when using Spark, use the Service in good faith, and ensure that:
3.1.1 You will not use Spark to engage in illegal activities, or infringe upon the rights or damage the interests of others;
3.1.2 You will not obtain or use the information of other users of Spark in an illegal manner;
3.1.3 You will not attack, destroy or alter part or all of Spark through technical means, or interfere with its normal operation;
3.1.4 You will not obtain or use any code, technology or commercial information of Spark in an illegal manner;
3.1.5 You will not conduct reverse engineering, reverse compilation, reverse assembly or modification of the programs running on Spark;
3.1.6 Without permission, you will not use the name of Spark, company name, trademark, commercial logo, applet layout or content, or other information or materials for which we have intellectual property rights or other rights;
3.1.7 You will not infringe upon our trademark rights, copyrights, patent rights, other intellectual property rights or other legitimate rights and interests, nor derogate our commercial reputation in any way;
3.1.8 You will not use Spark for commercial purposes, nor exploit, copy, reproduce, sell, investigate, advertise any part or all of Spark for commercial purposes, nor use Spark for any other commercial purposes or commercial activities, unless Spark signs a separate agreement with you or designates specific commercial services available to you;
3.1.9 You will not use Spark to engage in other activities that violate laws and regulations or public order and good morals.
If you violate the above agreements, Spark may report your records of violating laws or infringing upon the rights and interests of third parties to the relevant administrative authorities or judicial organs.
3.2 You shall ensure that the information uploaded to Spark does not contain the following content:
3.2.1 Violating the prohibitive provisions of national laws and regulations;
3.2.2 Involving political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terror or abetting crimes;
3.2.3 Being fraudulent, false, inaccurate or misleading;
3.2.4 Infringing upon the intellectual property rights of others or involving the trade secrets and other proprietary rights of third parties;
3.2.5 Insulting, defaming, threatening, involving the privacy of others or otherwise infringing upon the legitimate rights and interests of others;
3.2.6 Containing viruses, Trojan horses, crawlers and other malicious software or program codes that may damage, tamper with, delete, affect the normal operation of any system of Spark or obtain the data and personal information of Spark and other users without authorization;
3.2.7 Other content that violates social public interests or public morality, or is not suitable for uploading in accordance with the relevant rules of Spark.
3.3 You understand and agree that you must obtain all services through legitimate and legal channels, and services provided through other non-official channels are not protected by us.
4.1 All information generated by you in any form on Spark shall comply with national laws, regulations and relevant provisions, conform to social public order and good morals, and shall not infringe upon the legitimate rights and interests of any third party. If we find that the content generated by you through Spark does not comply with the aforementioned provisions, we have the right to take corresponding measures.
5.1 We shall have corresponding rights to the materials contained in the Spark Service and software that are protected by intellectual property laws or other laws. The intellectual property rights of the overall content of Spark (including but not limited to design drawings, product and service names, etc.) belong to us. Without prior legal written authorization, no one may copy or use them for other purposes without permission.
5.2 Spark shall have intellectual property rights to its proprietary content, original content and exclusive or sole content obtained through authorization. Without the written permission of Spark, no unit or individual may copy, reprint, disseminate or provide listening services privately, or engage in other acts of infringing upon the intellectual property rights of Spark. Otherwise, they shall bear corresponding legal liabilities.
5.3 You understand and agree that unless you have another agreement with us or otherwise stipulated by law, the rights to the content uploaded/provided by you when using Spark and related services shall belong to you or the obligee who legally enjoys the intellectual property rights. Your use of the Service will not affect the ownership of the aforementioned content rights.
5.4 The rights to the content generated based on the Service shall be maintained by you and used after your independent judgment. If any problems arise due to the creation or use of the generated content, you shall handle them yourself. We shall not be liable for any losses caused thereby, and if you cause losses to us due to this, we have the right to claim compensation from you.
5.5 We respect the legitimate rights and interests of intellectual property rights and other obligees, and actively take effective measures to protect the legitimate rights and interests such as the intellectual property rights of others. If an obligee such as an intellectual property right holder believes that the content displayed by users on this platform (including the knowledge base content shared/published by users) infringes upon their legitimate rights and interests, they may report, complain, feedback opinions to us, and provide corresponding supporting materials. We will take handling measures in accordance with the law.
6.1 Spark may require you to fill in personal information that can identify the user's identity to provide you with a better user experience. "Personal information" includes but is not limited to the mobile phone number you use.
6.2 Spark undertakes to collect, use, store and manage the personal information provided by you during registration or use of Spark in accordance with the methods stipulated by laws and regulations and the methods that ensure your safe and stable use of Spark, and will not disclose your personal information in an illegal manner.
6.3 You agree that Spark may collect, use, store, share and transfer user personal information in accordance with the "Privacy Policy". For specific terms, please refer to the "Privacy Policy".
7.1 Spark will make every effort to ensure its stable operation. You understand and agree that due to legal, policy, technical, economic, management and other reasons, Spark shall not be liable to you for the following circumstances:
7.1.1 The Service is unavailable, interrupted or fails to fully meet the user's usage requirements;
7.1.2 The Service is interfered with, fails to operate in a timely, safe and reliable manner, or has any errors;
7.1.3 Any products, services or other materials obtained through the Service do not meet your expectations;
7.1.4 User data is used or modified without authorization.
7.2 To achieve the purpose of your use of goods or services, Spark will retain your personal information for the shortest period necessary, unless otherwise stipulated by laws and regulations. If you cancel your Spark account, or the services provided by Spark are terminated or canceled, Spark may permanently delete the user data from the server. Except as explicitly stipulated by law, Spark cannot return or provide any data to the user under such circumstances.
7.3 You shall comply with national laws, regulations and policy provisions when using the Service of Spark, and bear the consequences of your actions arising from the use of the Service of Spark.
7.4 You understand and agree that the services, products or content provided by Spark to you may be changed, suspended, interrupted or terminated due to changes in laws and regulations, regulatory policies, requests from obligees or copyright owners, product plans, operational conditions and other reasons, including but not limited to the permanent or temporary removal, suspension of services, products or content. The aforementioned measures shall take effect immediately upon implementation.
8.1 Notices sent by Spark to you may be delivered through short messages, phone calls, or announcements in prominent positions within the applet or web terminal. Spark will deliver the message to you through one of the above methods to inform you of modifications to the service terms, service changes or other important matters.
9.1 If Spark causes losses to you due to violating relevant laws, regulations or any terms under this Agreement, Spark shall bear the corresponding liability for compensation.
9.2 You agree to protect and safeguard the legitimate rights and interests of Spark and other users. If you cause losses to Spark or any other third party due to violating relevant laws, regulations or any terms under this Agreement, you agree to bear the liability for compensation arising therefrom.
10.1 When using Spark, you shall comply with the laws of the People's Republic of China(“PRC”), the laws of your place of residence and the laws you voluntarily or shall submit to. This Agreement shall be interpreted and performed in accordance with the laws of the People's Republic of China.
11.1 The place of signing this Agreement is Chaoyang District, Beijing, PRC.
11.2 The effectiveness, performance, interpretation and dispute resolution of this Agreement shall all be governed by the laws of PRC. All disputes, claims or other matters arising from or in connection with your use of Spark shall be governed by the laws of PRC.
11.3 All disputes arising between you and Spark shall be resolved through friendly negotiation; if the negotiation fails, either party may file a lawsuit with the people's court with jurisdiction over the defendant's domicile.
11.4 This clause shall be deemed separable. If any clause of this Agreement is deemed revoked, invalid or unenforceable, it shall not affect the legal effect of the other clauses of this Agreement.
12.1 Spark may from time to time issue relevant agreements to users, which will serve as supplements or modifications to this Agreement and form part of this Agreement. Please pay attention to and read the relevant agreements in a timely manner.
12.2 If any clause of this Agreement is deemed revoked, invalid or unenforceable, such clause shall be deemed separable and shall not affect the validity and enforceability of the remaining clauses of this Agreement.
